LLC or S-Corp: Which one is really right for your business?

If you own a business and someone told you, “Go S-Corp, you’ll save on taxes,” you’re not alone—it’s one of the most frequent questions we get from business owners. And the short answer is: it depends. It’s not a decision you can make over coffee; it’s a decision that affects how you pay taxes, how much paperwork you have to file, and how legally protected you are. Here, we explain the real differences, without unnecessary technical jargon.

LLC and S-Corp are not the same thing (and this confuses a lot of people)

An LLC is a type of legal entity—it protects you personally if something goes wrong in the business. An S-Corp, on the other hand, isn't a legal entity in itself: it's a choice of how you want the IRS to treat you when it comes to paying taxes. In other words, your business can be an LLC and, at the same time, choose to be taxed as an S-Corp. They are two different things that are often confused.

The difference that matters most: how taxes are paid

As an LLC (without the S-Corp election), normally everything the business earns is considered your income and you pay the full self-employment tax. As an S-Corp, the idea is that you pay yourself a reasonable salary (through payroll, with taxes withheld) and the rest of the profit is distributed in other ways, which in some cases can reduce that self-employment tax. The key word here is "reasonable salary"—the IRS pays attention to this, and it's not just a made-up number; it's based on evidence.

When does it make sense to make the switch to S-Corp?

It makes more sense when the business is already generating consistent profits sufficient to justify the additional costs: payroll, a new separate tax return, and more organized accounting throughout the year. If the business is just starting out or profits are low, the cost of the change often outweighs the benefits. There's no magic number that applies to everyone—it depends on your specific figures.

It's not "once and that's it" — it needs to be checked every year
